01 Agreement to Terms

Welcome to FYNSOL Agency ("FYNSOL", "we", "our", or "us"). These Terms and Conditions govern your relationship with our company, access to our website, communication portals, custom digital applications, marketing deliverables, and any associated software engineering contracts.

If you do not agree with any part of these terms, you are prohibited from using our website, initiating projects, or deploying code built under our standard agency agreements.

02 Scope of Services

FYNSOL is a full-service marketing and software development company providing specialized technical and creative solutions, including but not limited to:

• Web Development: Custom frontend architecture, Next.js/React applications, server-side APIs, and headless CMS integrations.
• Mobile App Development: Native and cross-platform (Flutter, React Native) iOS and Android applications.
• Custom Software Engineering: Enterprise dashboards, automated microservices, database modeling, and workflow automation systems.
• Search Engine Optimization (SEO & ASO): Technical audits, schema architecture, organic search strategies, and app store listings.
• Social Media & Performance Marketing: Paid campaign architecture, creative asset design, and multi-channel attribution tracking.
• UI/UX Design: Wireframes, design systems, Figma prototypes, and developer-ready vector asset handoffs.

Individual project scopes, technical specifications, deliverables, and schedules are formally documented in Statements of Work (SOW) or custom project agreements agreed upon with each client.

03 Project Milestones & Deliveries

Projects are executed in structured developmental sprints and milestones:

• Sprint Reviews: Clients receive periodic access to staging environments and preview builds for review and constructive feedback.
• Approval Windows: Clients have ten (10) business days following a milestone submission to review deliverables and request revisions within the defined scope.
• Scope Changes: Requests outside the approved Statement of Work will be quoted separately under a Change Order agreement to avoid timeline and budget creep.

04 Client Obligations & Content

To ensure timely delivery and seamless technical execution, the client agrees to:

• Supply necessary brand assets, copywriting, credentials, and API access keys in a timely manner.
• Ensure all supplied texts, media, trademarks, and third-party code comply with copyright laws and do not infringe on intellectual property rights.
• Designate a single point of contact empowered to make authoritative decisions and milestone sign-offs.

05 Intellectual Property & Code Ownership

Upon full and final payment of all agreed project fees and invoices, the client receives 100% full ownership of custom application source code, designs, graphics, and written content produced specifically for the project.

FYNSOL retains ownership of proprietary agency boilerplates, pre-existing internal libraries, build systems, and open-source packages governed by their respective licenses (MIT, Apache, GPL). FYNSOL reserves the right to showcase non-confidential project highlights and screenshots in our agency portfolio and case study archives.

06 Payment, Invoicing & Billing

Standard development services are invoiced according to agreed milestone schedules (e.g., upfront commencement deposit, milestone release, final deployment). Marketing and ongoing maintenance retainers are invoiced at the beginning of each billing cycle.

Invoices are due upon receipt or within the net terms indicated. Late payments exceeding fifteen (15) days past due may result in temporary suspension of active development sprints, staging server access, or production deployments until settled.

07 Confidentiality & Non-Disclosure

Both parties agree to treat all business plans, source code, customer databases, technical architectures, and proprietary algorithms as strictly confidential. Neither party shall disclose confidential information to any third party without prior written consent, except where required by law.

08 Warranties & Limitation of Liability

FYNSOL warrants that all code produced will be written in accordance with modern engineering standards and tested for cross-browser, responsive, and server-side stability. We provide a complimentary thirty (30) day bug-fixing warranty following final production launch for any defects violating original specifications.

In no event shall FYNSOL, its directors, developers, or partners be held liable for indirect, incidental, punitive, or consequential damages resulting from third-party hosting outages, server misconfigurations by external vendors, or unauthorized third-party modifications to the codebase.

09 Termination & Suspension

Either party may terminate an active project engagement with fourteen (14) days written notice. In the event of early termination, the client shall pay for all work completed, hours logged, and milestones achieved up to the termination date, after which all accumulated deliverables will be transferred.

10 Governing Law & Disputes

These terms shall be governed by and construed in accordance with the laws of California, United States, without regard to its conflict of law principles. Any legal suit or proceeding arising out of these terms shall be settled through mutual good-faith arbitration.
